1、意 向 書Letter of Intent出租方 :銀隆商業管理咨詢(上海)有限公司(以下簡稱“甲方”)Landlord : Inzone Commercial Property Management ( Shanghai )Co., Ltd. (Hereinafter referred to as “Party A)地址 :上海市盧灣區淮海中路381號中環廣場1801室 (200020)Address : Suite 1801, Central Plaza, 381 Huaihai Road Central, Shanghai P.R. China 200020承租方 :海恩斯莫里斯(上海)2、商業有限公司(以下簡稱“乙方”)Tenant: HENNES&MAURITZ (SHANGHAI) COMMERCIAL CO. LTD. (Hereinafter referred to as “Party B) 地址 :Address :甲、乙雙方經友好協商,就乙方租賃甲方管理的商鋪,達成如下意向書。After a mutual negotiation, Party A and Party B hereby enter into following Letter of Intent (“LOI”) with regard to the lease of the premises manag3、ed by Party A to Party B.1. 商鋪Premises 甲方向乙方出租的商鋪(以下簡稱“該商鋪”)位于下列城市的購物中心(以下簡稱“購物中心”)內,具體如下:。 The leased premises by Party A to Party B (hereinafter referred to as “the Premises”) are located at Party A shopping centers (hereinafter referred to as “the Centers”). The details are as follows.省份Province城4、市City地址Address商鋪號Premises可出租面積(平方米)Gross Leasable Area(m2)山東 Shandong濟南 Jinan經七路經十路緯十二路119+2191943 (其中1F: 1066; 2F: 877)本意向書附件一平面圖僅作該商鋪位置示意之用,甲方保留對該平面圖規劃設計修改和解釋的權利。The Lease Outline Drawing (“LOD”) appended hereto is for the purpose of identification of the location and Party A reserves the right to5、 modify and interpret LOD of the Centers.該商鋪的使用以商鋪所在地市房屋測量機構的測繪結果為準。The gross leasable area (GLA) of the Premises is subject to the final measurement by local mapping institutions when the building completes.2. 用途Permitted Use 該商鋪僅供乙方用于經營/ 銷售 H&M 品牌 服裝、服飾、皮包、化妝品及其相關商品零售,未經甲方書面同意乙方不得擅自改變用途。The Premis6、es shall be occupied and used by Party B solely for selling and operating retail of H&M garments, garment accessories, leather bags, cosmetics and other relevant commodities. Without a written consent by Party A in advance, Party B shall not change the above use of the Premises.3. 租期Lease Term: 該商鋪的7、租賃期限為 8 年,自購物中心開業日起計算。The lease term of the Premises shall be 8 year(s) commencing upon Grand opening date of the Center. 4. 開業日Opening Date 購物中心的開業日初步預計如下: The Centers are respectively expected to open on following dates.購物中心Centers預計開業日Expected Grand Opening Date濟南 Jinan4Q of 2010具體以甲方提前兩個月書面通知為準。8、Party A will notify Party B of the exact opening date in writing three (3) months in advance.5. 租金Rent 每月租金(包括物業管理費和宣傳推廣費)以基本租金和提成租金中較高者為當月適用租金。基本租金按該商鋪的可出租面積計算;提成租金按該商鋪每月含稅營業額的百分比計算。The actual monthly rent for the Premises (exclusive of the management fee and other charges) shall be minimum monthly9、 rent plus percentage rent when the gross sales in excess of natural breakpoint. Minimum monthly rent shall be calculated by GLA, and percentage rent calculated by monthly gross sales of the premise.購物中心Centers商鋪號Premises基本租金(人民幣元/平方米/月)Minimum Monthly Rent (RMB/m2/month)提成租金(% )Percentage Rent (%)濟10、南Jinan119+219Y1-3: 180Y4-6: 220Y7-8: 250Y1-3: 8%Y4-6: 8%Y7-8: 8.5%6. 公用事業費 乙方應根據實際發生金額自行承擔租賃區域內產生的水、電、煤、空調、通訊等費用。Party B shall pay the utilities charge of water, electricity, gas, air-conditioning, communication and other utilities on a basis of actual consumption 7. 裝修免租期Fit-out Period自該商鋪交付日起,乙方可享11、有 90 天的裝修免租期,裝修免租期內乙方無需交納租金,但應支付水、電、通訊等實際發生的費用。Party B is entitled to 90 days fit-out period commencing on delivery date of the Premises. During the fit-out period Party B will not need to pay the rent but shall pay water, electricity, communication and other utilities on a basis of actual consumpti12、on.8. 誠意金和保證金Earnest Money and Security Deposit 8.1 乙方應在簽署本意向書后十五日內向甲方支付相當于一個月租金和物業管理費之和的誠意金。在雙方簽署正式租賃合同后,誠意金(均分部分)將轉作相應租賃合同項下乙方的部分保證金。若乙方逾期交納的,甲方有權終止該意向書。Party B shall pay Party A an earnest money equal to aggregate of one-month rent and management fee within 15 days upon execution of this LOI. Whe13、n both Parties reach the final lease contract, the equal distribution of the earnest money will become part of Party Bs Security Deposit to Party A under relevant lease contract. If Party B would not pay Earnest Money according to LOI, Party A should terminate this LOI.8.2 乙方應于簽署正式租賃合同后十五日內,向甲方支付相當于14、三個月租金和物業管理費之和的保證金。 The security deposit of the formal lease contract, which is equivalent to aggregate of three (3) months rent and management fee, shall be paid by Party B to Party A within 15 days after signing of the formal lease contract. 8.3 乙方同意將上述誠意金和保證金匯入如下賬戶: Party B agree to pay Earnest Mo15、ney and Security Deposit into the following account:開 戶 名:山東銀座置業有限公司開戶銀行:齊魯銀行濟南經七路支行賬 號:0000000070038000048429. 推廣活動Promotion Activities 為了吸引商場人流,促進擴大銷售,乙方同意自行負責每年舉辦至少 4 次大型推廣活動,并積極配合參加甲方組織的推廣活動。To draw traffic and promote sales of the Center, Party B agrees to hold at least 4 (times) promotion acti16、vities per year in the Center, and participate actively in all promotion and marketing activities held by Party A. 10. 半徑限制Radius Restriction乙方同意,在租賃期內,未經甲方同意不在以購物中心為圓心的2,000 米范圍內新開設任何經營相同品牌的分店。Party B agrees not to open any new same-brand branch store within a radius of 2,000 meters of the Center, 17、without permission of Party A during the entire term of the Lease Contract.11. 保密條款Confidentiality 甲、乙雙方同意嚴格保守本意向書下的條款內容,未經許可不得向第三方透露,否則受損方有權向違約方追究由此而受到的全部損失。All the clauses and information in this LOI are confidential and without the consent of other party in written, each party should not disclose18、 to any third party, failing which, the party in damage shall be entitled to claim all the loss arising thereof.12. 合同簽署Signing of Lease本意向書簽署后,雙方應按本意向書所確定的基本條款積極努力磋商,并應在甲方發出的正式簽約通知之日起三十日內簽署正式租賃合同。若雙方未能在上述期限簽署正式租賃合同,本意向書自動終止,甲方有權另行向第三方出租該商鋪而不受本意向書約束。此外若因乙方原因致使雙方未能簽署正式租賃合同的,乙方已交之誠意金甲方不予退回。Both Partie19、s agree to try their best to negotiate and sign the formal Lease Contract based on the above clauses stipulated in this LOI, within 30 days upon Partys Bs receipt of the Lease Signing Notice from Party A. If both parties fail to sign a formal Lease Contract before aforesaid time limit, this LOI shal20、l terminate automatically and Party A shall be entitled to lease Premises to any third parity without being restricted by this LOI and the earnest money will be returned to Party B.
