2、內容：_ 項目建設總投資額： _萬元(以中標金額為準) 項目建設規模：_ 項目建設范圍：_ 項目資金來源：自籌 其他：_ 二、代建投資承攬的方式及內容 1、甲方根據 _市人民政府城市規劃的要求，將 _項目交由乙方投資承攬代建，由乙方承擔該項目的全部投資資金，按法定程序交付給甲方使用后,甲方按照本合同約定方式向乙方支付投資回報。 2、代建投資承攬的內容包括本合同 _項目的征地、拆遷、安臵、青苗補償、建安工程等全部工作。具體包括：(1)該項目紅線范圍內的征地、拆遷、安臵、青苗補償; (2)該項目范圍內建安工程，包括：排水設施等(具體建設內容，以中標的工程量清單為準); (3)該項目投資費用支付承諾

3、匹配土地上的征地、土地報批、拆遷補償及青苗補償。 3、若乙方將本合同項下的征地、拆遷、安臵、青苗補償工作委托甲方完成，甲方可以接受，由甲方指定本項目實施單位受托完成，并由乙方與項目實施單位簽訂委托合同。該委托合同應約定在委托合同生效后 _日內由受委托人完成委托事項，若受委托人不能在此期限內完成，超過合同委托期限20%以內的，屬寬限期，不補償乙方的損失;超過合同委托期限20%以上的天數，以乙方投入的拆遷補償和青苗補償總費用為基數，由受托人按照銀行同期貸款基準利率的3倍計息，補償給乙方。 4、乙方也可委托具有相應資質的拆遷公司進行拆遷。 5、乙方建成后的市政公用設施的產權全部歸甲方所有。 三、項目

4、投資價款 1、本項目代建投資承攬的合同價款金額為_元，包括項目占地的征地、拆遷、安臵、青苗補償;建安工程;匹配土地征地、拆遷、安臵及青苗補償、前期費用等部分。 2、本項目合同價款確定后，因材料價格、機械費和人工工資發生變化，甲方不再給予相應調整。 3、乙方在代建投資承攬過程中所產生的相關稅費按國家和省市有關規定承擔。勞保基金的扣繳按上級勞保基金有關規定和招標文件執行。 四、合同工期1、本項目履行期限從 _年 _月 _日開始，至 _年 _月 _日竣工完成，共計 _天。在此時間范圍內，詳細的分期工期另行約定。(此合同工期包括國家法定的節假日在內) 2、因人力不可抗拒的自然災害造成的工期延誤可以順延

5、，但投資專項資金不計息;因重大規劃調整或甲方的原因引起合同工期的延誤，乙方可以提出延期申請，經甲方審核后工期可以順延。順延工期在60天以內的，投資專項資金不計息，在60天以上的，乙方可以要求計息。具體計算辦法，以乙方投資專項資金帳上的實際余額，按銀行同期活期存款利率計息。因乙方的原因引起合同工期的延誤，由乙方自行負責，甲方不給予順延工期。 3、延誤工期每天賠償2000元，最高延誤工期賠償限額為合同總造價的1%。 五、質量要求 乙方代建投資承攬的工程必須達到國家、省、市現行各項質量驗收標準的要求，確保合格，爭取優良。 六、代建承攬項目的管理 1、甲方委托 _公司負責該項目實施過程中的管理和協調工

6、作。 2、乙方應成立項目管理部，負責項目實施過程中的管理和協調工作。 3、本合同簽定后，若乙方需自行組織施工的，應具備相應的市政施工資質。若乙方不具備市政施工資質的，乙方應在市建設工程招標辦的監督下通過邀請招標的方式確定施工隊伍，并辦理項目報建各項手續。 七、工程量的變更 1、工程量、土石比在設計文件及招標人提供的工程量清單中已明確，在項目建設過程中，原則上不作項目工程量和土石比的變更(含溝槽)。但在項目建設過程中，因甲方設計圖紙的變更及其它原因引起的項目造價增加或減少達到或超過一定的比例時，由乙方書面向甲方提出變更理由并計算出變更數量后，經甲方同意，報相關部門審核后，可以相應的變更工程量。

7、2、工程量的變更在本條款約定的比例范圍內的，由乙方自行負責，甲方不給予乙方增加或減少工程量。甲方只對變更造價達到總造價的5%(含)以上的工程量相應增加或減少工程款。 增加或減少的造價達不到上述比例的不予變更，增加變更若多個子項目累計才超過上述比例的，則在計算增加變更總額時，應按上述比例扣除后才計算，若是單個子項目增加，則依實際發生計算。 八、代建投資專項資金的管理和使用 1、本項目的投資專項資金共分三期交納：第一期為項目投資響應金，按照區財政局審核的道路工程紅線范圍內征地和青苗賠損及稅費估算費用人民幣 萬元和前期費用人民幣 _萬元，合計人民幣 _萬元，于投標資格確認登記前轉入到招標人指定的銀行

8、帳戶;第二期按區財政局審核的建安工程預算的60%交納，即人民幣 _萬元( 萬元60%)作為投資專項資金，在完成第一期項目投資額后10日內交納;第三期以匹配土地的報批、征地、青苗補償及安臵等所需費用按區財政審定的金額，在完成第二期項目投資額后10日內交納。此條款列入合同條文。對不履行合同的，對前期工程不予驗收。 所交投資專項資金優先滿足道路工程紅線范圍內征地、拆遷、安臵、青苗補償及稅費估算費用和前期工作費用的需要。 2、乙方將打入甲方指定帳戶的響應金轉為該項目的投資專項資金后，該專項資金實行雙控，且不計利息。乙方在代建投資承攬過程中根據項目建安工程建設的需要，可以使用該專項資金。專項資金首先保證

9、道路紅線范圍內的征地拆遷及青苗補償的需要，代建承攬人申請使用專項資金用于征地拆遷和青苗補償方面的，可由代建承攬人按市財政審定的金額申請使用，若該專項資金除滿足該項目征地拆遷和青苗補償需要外仍有剩余，則用于建安工程建設，根據建安工程形象進度完成情況，代建承攬人可以提出使用申請，經項目實施單位和我司核實后，可按核實的已完建安工程預算造價與中標人建安工程投標報價的比例乘以專項資金剩余部分，作為甲方同意代建承攬人使用的專項資金額度。 原則上乙方申請使用專項資金的時間間隔不得少于15天，且實際使用金額達到25萬元時，方可申請使用。 3、在項目實施過程中，項目用地上的征地、拆遷、安臵、青苗補償費用超過投標

10、報價的部分，經市政府審批確認后，由代建投資承攬人在已繳納的項目響應金之外追加出資，計入項目成本。 4、變更工程量，按規定程序認定，但不從項目響應金中撥付進度款。 5、本合同簽訂前，乙方應將代建投資承攬項目總預算金額的3%的現金繳入 市財政局指定的銀行帳戶，做為代建投資承攬項目的履約保證金。此履約保證金的使用和退還，按照國家有關規定執行，不能用于工程進度款撥付，只能竣工驗收合格后一個月內無息退還，履約保證金不計利息。 九、投資回報及支付方式 1、項目投資的回報：采用以下兩種方式： (1)乙方參與該匹配土地掛牌競拍的，成功競拍后，以項目投資款抵繳項目配地的土地出讓金作為項目投資回報。 (2)他方參

11、與匹配土地掛牌競拍的，成功競拍后，以項目配地的土地出讓金作為項目投資回報。 2、工程竣工驗收后，土地方可掛牌： (1)竣工驗收合格一年內，除質保金外，則可以項目投資回報金抵扣全部土地出讓金，不足部分由乙方用其它資金補足。(2)竣工驗收合格一年后，則可以項目投資回報金抵扣全部土地出讓金，不足部分由乙方用其它資金補足。 3、乙方以參與公開出讓土地形式回報的，應按照市政府有關文件的規定到國土、規劃等相關部門辦理相關手續。 4、本項目匹配土地經市國土資源部門認定位臵、面積、價格和掛牌時間后，經市政府批準，市財政部門出具承諾書。乙方對于投入的項目前期費用和征地拆遷費用(包括征地、報批和拆遷補償、青苗補償

12、費用等)，只能選擇土地出讓形式回報(在代建投資承攬合同簽訂時選定)。選擇土地出讓形式回報的(參見上述第一條款內容)，待該匹配土地出讓時，以該匹配土地的基準地價掛牌，最終按成交價結算，成交價超出起始價部分由甲方與乙方共同分配。其分配的比例為：乙方以投入該項目的前期費用和征地、拆遷補償和青苗補償資金占項目總造價的比例獲得超出部分資金，其余歸甲方所有。若選擇現金回報的，則從本合同簽訂之日起，至工程結算之日止，以乙方投入的項目前期費用和征地、拆遷補償、青苗補償等費用總額為基數，按照銀行同期貸款基準利率的兩倍計息。 十、項目的驗收 項目驗收分階段性驗收和竣工驗收。項目的階段性驗收和竣工驗收由乙方向甲方提

13、出書面申請后，甲方組織相關單位進行驗收。 十一、雙方的責任 1、甲方的責任： (1)組建項目矛盾協調小組，協助乙方調處項目建設過程中征地、拆遷、青苗補償和阻工等矛盾糾紛; (2)委托監理單位，派出總監、監理工程師、現場監理等相關人員; (3)會同相關部門核定和批準項目工程量變更，并給予簽證; (4)監管項目建設進度、質量，核定和審查項目結算;(5)按約定支付項目代建投資費用; (6)接收竣工合格項目; (8)雙方協商的其它責任。 2、乙方的責任： (1)足額提供項目紅線范圍內和匹配土地上的征地、批地、拆遷補償、青苗補償和前期費用等; (2)完成項目紅線范圍內的建安工程建設任務，包括設計圖紙內的

14、場地平整、土石方、基層、面層、排水、綠化、亮化等工程任務; (3)按規定確定符合資質的工程建設施工隊伍,并督促施工單位嚴格執行施工規范、安全操作規程、防火安全規定、環境保護規定，對施工質量安全事故和施工中產生的糾紛負責; (4)項目工程達到合同規定的質量、安全標準，按規定時間移交竣工驗收合格的項目; (5)提出項目建設變更申請，并向甲方說明變更理由，計算變更工程數量; (6)接受甲方委托單位的全程管理; (7)雙方協商的其它責任。 十二、違約處理 1、甲方違約處理： 甲方違反本合同規定，致使本合同無法履行的，甲方應向乙方支付本合同價款金額的5%的違約金。給乙方造成重大經濟損失的，應按損失金額向

15、乙方承擔賠償責任。 2、乙方違約處理： 乙方違反本合同規定，致使本合同被解除、終止而無法履行的，甲方不再退還乙方繳納的履約保證金(且乙方還應向甲方支付違約金 萬元)。給甲方造成重大經濟損失的，乙方還應按損失金額向甲方承擔賠償責任。十三、合同的免責條款 由于國家政策變動或其它人力不可抗拒的原因造成項目需解除或終止的。 十四、合同的組成文件 組成合同的文件包括： 1、本合同協議書; 2、中標通知書; 3、招標書及其附件; 4、投標書及其附件; 5、標準、規范及有關技術文件; 6、項目投資建設總預算書; 8、本合同的各項書面補充、修訂或變更及其它附件; 7、圖紙。 十五、合同的解除和終止 有下列情形

16、的，本合同可以解除或終止： 1、甲、乙雙方在合同簽訂后超過約定時間56天仍不能按期履行合同義務的。 2、乙方違反代建投資承攬合同關于建設進度的約定，乙方承攬項目建設速度緩慢，經甲方或其委托單位書面催促后乙方仍不能改正，導致不可能按期完成的。 3、在征地、拆遷、安臵和青苗補償等政策性工作中，乙方不執行市政府的統一政策標準，惡意突破政策界限，造成大規模上訪或嚴重擾亂全市建設秩序現象的。 4、乙方在執行合同過程中，自己或通過他人直接或間接行賄，有損建設單位利益或公共利益的;或伙同監理單位營私舞弊、虛假簽證的。5、代建投資承攬項目在建設過程中出現重大質量、安全隱患，乙方拒不整改或整改后仍達不到要求或造
